CORPORATE ADMINISTRATOR

Corporate Administrator

This company secretarial role includes the following responsibilities:

  • client liaison on annual obligations as well as ad hoc matters
  • entity formation, management and administration of companies in jurisdictions including Hong Kong, Cayman Island and British Virgin Islands
  • managing incoming client enquiries and providing company secretarial advice
  • assisting with liquidations and strike offs, notarisation and legalisation of documents
  • attending to projects related to new legislation, and organising the maintenance of documentation and filing requirements
  • company maintenance in entity management software
  • liaising with the compliance department regarding AML and KYC
  • assistance with invoicing, liaising with finance department
  • carrying out the instructions of management

Skills and attributes

  • minimum 2 years’ relevant experience in a professional firm, Member of HKACG or equivalent preferred but not essential
  • familiarity with entity management systems
  • responsible, able to work independently and a problem-solving mindset
  • English and Chinese
  • strong communication and organisational skills

COMPLIANCE ASSOCIATE

Compliance Associate

This compliance role includes the following responsibilities:

·         processing and reviewing incoming know your client (KYC) documents related to new client and investor onboarding and changes to existing client companies and investors

·         keeping up-to-date with regulatory and legislative changes and requirements across multiple jurisdictions including Hong Kong, Cayman Islands, British Virgin Islands, Marshall Islands, Bermuda, Seychelles, Singapore

·         data capture to support systems and requirements, including completing compliance reports related to client acceptance of high risk individuals, entities or structures, client due diligence (CDD) summaries, onboarding checklists etc

·         performing periodic compliance reviews as scheduled as part of ongoing monitoring, or required by changing legislation

·         assisting Marbury and clients with KYC requests from banks and other external regulators

·         providing assistance and support to other departments in the interpretation and implementation of relevant compliance and regulatory requirements across various jurisdictions

·         reporting to the Head of Regulatory any matters that may need to be presented to the risk acceptance committee (RAC) and attend RAC meetings

·         contributing to the company’s compliance manual and ensuring policies are kept up-to-date

·         assisting with Economic Substance filings

·         assisting with the development of compliance framework and culture of compliance across the firm 

JUNIOR FUND ADMINISTRATOR (Private Equity)

Junior Fund Administrator

Reporting to the Senior Fund Accountant, the Head of Fund Services and the Director of Commercial, responsibilities include:

·         verification of investor payments in accordance with anti-money laundering policies

·         preparation of documentation, such as bank account-related forms and wire transfer forms

·         assistance with the preparation of financial statements in accordance with relevant accounting standards

·         assistance with the population of investor statements and financial reports

·         sending quarterly and annual reports and financial statements to investors

·         interacting with clients and maintaining good corporate relationships

·         assisting the Senior Fund Accountant in year-end audit for the private equity funds

·         as required by the Senior Fund Accountant, assistance with the preparation of timely and accurate Net Assets Values, Capital accounts, and other fund accounting output for subsequent review

·         as required by the Senior Fund Accountant, recording accurately, and in accordance with the department policies and procedures, such accounting records as expense payments/accruals, incomes, distributions, capital calls and all such relevant transactions which may arise

·         as required by the Senior Fund Accountant, assistance with the reconciliation of various ledger accounts including bank, or reviewing reconciliations prepared by others, and promptly researching and correcting any variances
